Perplex Terms of Use

Introduction

Please read these Terms of Use (hereafter “Terms”) carefully as they govern your use of services provided by Perplex Learning Incorporated (hereafter “Perplex”), including the website perplex.org. These Terms also govern all materials created or made available through Perplex, including problems, notes, images, videos, and any other instructional materials (hereafter “Content”).

By using Perplex, you agree to these Terms. If you do not agree to these Terms, you must not use Perplex.

Changes to Terms

We may make changes to these Terms at any time, and notify you of such changes by any reasonable means, including by posting the revised Terms on the applicable Perplex Service. For any material changes, we will endeavor to notify you by email, in-service popup message, or any other means. Your use of Perplex following any changes to these Terms will constitute your acceptance of all changes.

Age and eligibility

You must be at least 18 years of age - or have obtained guardian consent - to enter into these terms. All account information you submit to Perplex must be accurate and complete at all times.

Using Perplex

Your rights of use

Subject to your compliance with these and any other applicable Terms, we grant to you a limited, non-exclusive, revocable license to make personal and/or instructional use of Perplex (hereafter“Access”). You may not redistribute or transfer any Content accessed through Perplex. The Perplex software applications - as well as any content you access through them - are not sold or transferred to you, but licensed according to the aforementioned permission. You do not own any content accessed on Perplex, and your rights include only those explicitly laid out in these Terms.

Service limitations

This Access will remain in effect unless and until it is terminated, either by your or by Perplex. Access can be amended at any time, including but not limited to new or changed payment requirements for all or parts of the Access.

Perplex has no obligation to provide any Content. All content can be altered, restricted, or deleted at any time.

Your account

You may be required to create an account to use some features on Perplex. You are responsible for keeping your login credentials confidential, and are responsible for all use (including unauthorized use) of your credentials. Perplex may require you to change, or reclaim, your username for any reason.

You may establish an account only on your own behalf or on the behalf of some Organization which has given you express permission to do so. In the latter case, the terms “you” and “your”, as used in these Terms, apply to both you and the Organization.

Permissions you grant us

User Content

Perplex does not claim ownership of any Content on the basis that it was created or shared using its service. Content can include problems or exercises, images or graphics, videos, equations, text, or any combination thereof . After sharing Content on Perplex, you continue to retain any rights in your Content, including but not limited to intellectual property rights.

By posting User Content on Perplex, you grant Perplex a non-exclusive, worldwide license to make available, translate, modify, create derivative works from, and otherwise use such User Content. To the extent that your User Content contains names, likenesses, logos, photographs, or brand/organization features, you further grant us a non-exclusive, worldwide license to use these to advertise the availability of your User Content on Perplex.

Your Data

To enable discovery, Perplex uses relationships between users to suggest content. By creating an account on our Service, you grant us permission to:

• Display your account name, bio and profile picture (if provided) anywhere on our Service.
• Display content that you have liked on your profile for others to see.

• Use information about your relationships with users and past interactions with content on the

  Service to suggest content to you and other users.
